Terms of Service

Plain-English summary. These terms govern your use of minusPHI. In short: use the Service lawfully and only with data you're allowed to process; you remain responsible for your own HIPAA and privacy compliance; the Service is provided during beta on an as-is basis; and minusPHI is engineering — not legal advice, and not a guarantee of compliance.

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you (and the organization you represent, "you" or "Customer") and [Legal entity — e.g., minusPHI, Inc.] ("minusPHI," "we," "us"). By creating an account, installing the minusPHI tag, or otherwise using the Site or Service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

2. What minusPHI is

minusPHI is a server-side, de-identifying analytics relay. You install one tag on your website; events pass through our relay, which strips identifiers and health context and forwards only de-identified signal to the analytics and ad-measurement destinations you connect (such as Google Analytics 4 and the Meta Conversions API). Our Privacy Policy describes what is and isn't forwarded.

3. Beta services

The Service is currently offered in beta. Beta features are provided "as is," may change, be unstable or be discontinued, and may be offered free of charge for a limited time. We may set or modify usage limits. Do not rely on the beta Service as your sole record of any data. We may use aggregate, non-identifying information about beta usage to improve the Service.

4. Accounts & eligibility

You must provide accurate account information and keep it current, maintain the security of your credentials, and remain responsible for activity under your account. The Service is for businesses; you must be able to form a binding contract and not be barred from using it under applicable law.

6. HIPAA & business associate agreement

If you are a HIPAA-covered entity or business associate and will transmit protected health information through the Service, you must enter into a Business Associate Agreement (BAA) with us; contact hello@minusphi.com to request one. Absent a signed BAA, you agree not to use the Service to transmit protected health information that you expect us to receive or retain in identifiable form. minusPHI de-identifies by design, but you remain the party responsible for your regulatory compliance.

7. Third-party destinations

Google Analytics, Meta and any other destinations are third-party services governed by their own terms and privacy policies. You are responsible for your accounts and your compliance with those terms. We are not responsible for third parties' availability, changes or acts, and connecting them is at your direction. Google Analytics is a trademark of Google LLC and Meta is a trademark of Meta Platforms, Inc.; we are not affiliated with or endorsed by them.

8. Fees & payment

The Service is free during beta. When the beta ends, paid plans are billed at $99 per domain per month (or the price then posted), plus applicable taxes. Fees are billed in advance and are non-refundable except where required by law. We will give notice before charging you for a plan that was previously free, and you may cancel before the paid term begins. We may change pricing on prospective notice.

9. Intellectual property & license

We and our licensors own the Service, the minusPHI tag and all related software, and reserve all rights not expressly granted. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install the tag on domains you control and to use the Service during your subscription. You own your data; you grant us the limited rights needed to process it in order to provide the Service (including de-identifying and forwarding it as you configure).

10. Confidentiality

Each party may access the other's confidential information. Each agrees to protect it with reasonable care and to use it only to perform under these Terms — except for information that is public, independently developed, or required to be disclosed by law.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. minusPHI is engineering that controls what data leaves your site; it is not legal advice and not a guarantee of HIPAA, FTC or other compliance. We do not warrant that the Service will be uninterrupted, error-free, or that it will prevent every possible disclosure.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, minusPHI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

13. Indemnification

You will defend, indemnify and hold harmless minusPHI from claims, damages and expenses (including reasonable legal fees) arising from your data, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.

14. Term & termination

These Terms apply while you use the Service. You may stop and remove the tag at any time. We may suspend or terminate your access for breach, legal risk, or discontinuation of the Service; where practical for non-breach termination we will give reasonable notice. On termination your license ends and you must remove the tag. Sections that by their nature should survive (for example, fees owed, intellectual property, disclaimers, liability limits, indemnity and governing law) survive termination.

15. Changes to the service & terms

We may modify the Service and these Terms. For material changes to the Terms we will update the "Last updated" date and provide reasonable notice. Continued use after changes take effect means you accept them; if you do not agree, stop using the Service.

16. Governing law & disputes

These Terms are governed by the laws of [State / Country], without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the courts located in [venue], and you consent to their jurisdiction.
